Welcome to Nuda! Throughout the site, the terms "we", "us", and "our" refer to Nudashape LLC (d/b/a Nuda Shape). Nudashape LLC operates this store and website (nudashape.com), including all related information, content, features, tools, products, and services, to provide you, the customer, with a curated shopping experience (the "Services"). Nudashape LLC is powered by Shopify, which enables us to provide the Services to you.

The terms and conditions below, together with any policies referenced herein (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you access or use the Services.

SECTION 2 - NO PURCHASE FOR RESALE

The Services are intended solely for Nudashape LLC to sell shapewear and apparel directly to end-user consumers. The purchase of products for commercial resale, wholesale, or unauthorized export is strictly prohibited.

Purchase for resale means purchasing products with the intent to resell them to third parties. If we suspect, in our sole judgment, that you are purchasing for resale, we reserve the right to restrict or cancel your orders, suspend or terminate your account, and decline future transactions.

SECTION 3 - FAIR USE & ACCOUNT SECURITY CONTROLS

To protect our customers and business, we actively monitor account activity for fraudulent behavior, abuse, and unusual return patterns.

We reserve the right to withhold refunds, block accounts, and reject orders if we detect suspicious or abusive behavior, including but not limited to:

Making false claims regarding unreceived or missing orders.
Returning packages that are empty or do not match the items originally shipped.
Falsifying product damage or defect claims.
"Wardrobing" or free-renting (wearing garments beyond reasonable fit-testing before returning them).
Repeatedly attempting to exploit promotions or discounts through duplicate accounts.

Your purchases are subject to return or exchange solely in accordance with our Refund Policy. We reserve the right to take appropriate legal action if returned items do not match what was ordered or show evidence of fraudulent activity.

SECTION 4 - PRODUCT DISPLAY & DISCONTINUANCE

We make every effort to display the colors, features, and details of our products as accurately as possible. However, the exact color or appearance you see depends on your device display, screen settings, and hardware configurations, which we cannot guarantee.

We reserve the right to discontinue any product at any time or to limit the quantities of any products or services offered to any person, geographic region, or jurisdiction on a case-by-case basis. Order Acceptance: Placing an order constitutes an offer to purchase. Orders are not binding on Nudashape LLC until accepted and confirmed via an order confirmation email. We reserve the right to accept, decline, limit, or cancel any order for any reason, including limitations on stock, errors in pricing or product descriptions, or suspected fraud.

Pricing & Taxes: Prices for our products are subject to change without notice. Unless explicitly stated otherwise, posted prices do not include shipping, handling, customs duties, or applicable sales taxes, which will be calculated and added during checkout.

Billing Information: You agree to provide current, complete, and accurate purchase, payment, and account information for all orders. You represent and warrant that (i) the credit card or payment information provided is true and complete, (ii) you are authorized to use the payment method, and (iii) charges incurred will be honored by your payment carrier.

SECTION 6 - SHIPPING AND DELIVERY

All shipments, delivery timeframes, rates, and risk-of-loss policies are governed by our Shipping Policy.

We are not liable for shipping and delivery delays. All delivery times provided on our store or by carriers are estimates only and are not guaranteed. Nudashape LLC is not responsible for delays caused by shipping carriers, customs clearance procedures, severe weather, or events outside our reasonable control.

Once products are transferred to the carrier, title and risk of loss pass to you. You are responsible for providing a complete, accurate, and secure shipping address.

SECTION 7 - INTELLECTUAL PROPERTY RIGHTS

The Services—including all software, text, graphics, designs, logos, images, product photos, video, audio, sizing algorithms, trademarks, trade dress, and the overall "look and feel" of nudashape.com—are owned by or licensed to Nudashape LLC and protected by United States and international copyright, trademark, patent, and trade secret laws.

If you submit product reviews, photos, comments, suggestions, customer support communications, or creative proposals (collectively, "Feedback"), you grant Nudashape LLC a perpetual, worldwide, non-exclusive, royalty-free, sublicensable license to edit, copy, publish, distribute, translate, display, and use such Feedback in any medium for any commercial or promotional purpose.

You represent and warrant that:

You own or possess all necessary rights to your Feedback.
Your Feedback does not violate third-party rights (including copyright, trademark, privacy, or publicity rights).
Your Feedback is accurate, does not contain libelous, offensive, or obscene material, and does not contain computer viruses or malware.

Nudashape LLC is under no obligation to keep Feedback confidential, pay compensation for Feedback, or respond to submissions.

SECTION 9 - AUTOMATED BOT & AGENT ACCESS

Any software, bot, scraper, or semi-autonomous tool ("Agent") accessing or interacting with the Services must:

Clearly identify itself by including a standard Agent/[agent name] string within its HTTP user-agent header.
Not conceal its identity, emulate human browsing patterns, or attempt to bypass CAPTCHAs, bot protection measures, or security protocols.

Nudashape LLC is powered by Shopify Inc., which provides the underlying e-commerce platform allowing us to sell our products to you.

By using the Services, you acknowledge that your sales transaction is made directly with Nudashape LLC and not with Shopify Inc. You expressly release Shopify Inc. and its affiliates from any claims, liabilities, or damages arising out of or related to your purchase or use of products from Nudashape LLC.

SECTION 12 - MOBILE & SMS/MMS MARKETING TERMS

By opting in to Nudashape LLC’s SMS/MMS text messaging program (via checkout, subscription widgets, or online forms), you agree to these Mobile Terms:

Program Description: You consent to receive recurring automated marketing, promotional, and transactional text messages (such as order updates, shipping notifications, and abandoned cart reminders) sent to the mobile number provided during sign-up. Messages may be delivered via automatic telephone dialing systems.
Cost & Frequency: Message frequency varies. Standard message and data rates imposed by your wireless carrier may apply. Consent is voluntary and is not a condition of purchase.

SECTION 13 - PROHIBITED USES

You are prohibited from using the Site or its Content:

TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, NUDASHAPE LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

SECTION 15 - LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NUDASHAPE LLC, OUR DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SUPPLIERS, SERVICE PROVIDERS, OR LICENSORS (OR SHOPIFY INC. AND ITS AFFILIATES) BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND—INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS—ARISING FROM YOUR USE OF THE SERVICES OR PRODUCTS PROCURED VIA THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICES OR PRODUCTS SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID TO NUDASHAPE LLC FOR THE ORDER GIVING RISE TO LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN SUCH JURISDICTIONS.

SECTION 16 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Nudashape LLC, Shopify Inc., and our respective parents, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, and employees from any claims, demands, losses, liabilities, or expenses (including reasonable attorneys' fees) made by any third party due to or arising out of:

Your breach of these Terms of Service or incorporated policies.
Your violation of any law or the rights of a third party.
Your misuse of or activities in connection with the Services or products purchased.

SECTION 17 - SEVERABILITY & WAIVER

If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforced to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms. Such determination shall not affect the validity and enforceability of any remaining provisions.

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

SECTION 18 - DISPUTE RESOLUTION, BINDING ARBITRATION, & CLASS ACTION WAIVER

Governing Law: These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Informal Resolution: Before initiating formal legal proceedings, you and Nudashape LLC agree to attempt to resolve any dispute, claim, or controversy informally by contacting support@nudashape.com.

Binding Individual Arbitration: Any unresolved dispute, claim, or controversy arising out of or relating to these Terms, the Services, or purchases made on nudashape.com shall be determined exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in Sheridan, Wyoming, or remotely via telephone/video conference.

CLASS ACTION WAIVER: YOU AND NUDASHAPE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of a representative or class proceeding.

Limitation on Claims: Any cause of action or claim you may have arising out of or relating to these Terms or the Services must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.
